1. Name

 

The organisation shall be called “Be Kind Give Time.”

 

2. Purpose

 

Be Kind Give Time operates exclusively as a non-profit organisation dedicated to improving community welfare through volunteering, mentoring, and supporting individuals with professional and personal development. Our goal is to create a network of volunteer professionals who generously give their time and expertise for the benefit of those in need.

 

3. Membership

 

Membership is open to any individual who aligns with and supports the objectives of Be Kind Give Time, subject to approval by the governing body. Members agree to actively uphold and further the aims of the organisation.

 

4. Governance

 

The organisation will be managed by a governing body comprising elected members, including:

    •    Chair

    •    Secretary

    •    Additional committee members as deemed necessary

 

The governing body is responsible for strategic decision-making and ensuring compliance with legal and regulatory requirements. Officers and committee members will be elected annually at the Annual General Meeting (AGM).

 

5. Meetings

 

An Annual General Meeting (AGM) will be held once per year, with at least 14 days’ notice provided to members. Additional special meetings may be convened by the governing body as needed, with notice provided to all members.

 

6. Assets

 

The organisation will maintain transparent and accountable records of any resources or assets donated for use in activities. No funds or profits will be distributed among members, governing body members, or any other stakeholders.

 

7. Amendments to the Constitution

 

Amendments to this constitution must be proposed in writing and circulated to members at least 14 days before a general meeting. Amendments require a two-thirds majority vote of members present at the meeting.

 

8. Dissolution

 

In the event of dissolution, any remaining assets, after settling liabilities, must be transferred to another non-profit organisation with similar aims and objectives, agreed upon by the governing body.

 

This constitution was formally adopted and approved by the members of Be Kind Give Time on 16th May 2025.
